  • Siler City Futbol Club Code of Conduct

    All Athletes, Coaches, volunteers, Parents, and Spectators associated with Siler City Football Club will be held to the highest standards of sportsmanship and ethics. They will commit to following this code of conduct at all times.

    Athletes 

    All athletes in the club will always:

    • Display good sportsmanship and encourage it from fellow athletes, coaches, officials, and parents.

    • Remember that soccer is an opportunity to learn and have fun.

    • Try their best each day, at every training, game, and team event, while remembering that all athletes have talents and weaknesses.

    • Treating coaches, teammates, other athletes, game officials, administrators, and fans with dignity and respect is as important, as honoring their diverse backgrounds, including race, sex, creed, religion, sexual orientation, and abilities. This expectation of respectful treatment should be mutual.

    • Concentrate on playing soccer, always giving their best effort.

    • Play by the club's rules, hosting clubs, and the governing bodies Siler City Futbol Club is associated with. Siler City Futbol Club always respects game officials (the referees).

    • Control their temper, resisting the temptation to retaliate, scream, use profane language or engage in an outburst.

    • Exercise self-control.

    • While traveling, conduct yourselves to bring credit to yourself, your team, your club, your family, and your community.

    • Take an active role in my development as a soccer player, always give my best effort in practices and games, and listen to my coach’s guidance. Becoming your best player is a meaningful way to contribute to your team.

    • I will try to attend all games, practices, and team events, striving to arrive on time or early. If I anticipate being late or absent, I will promptly communicate this to my coaches. These actions reflect my respect for the time and dedication of the coaches and volunteers who make our team possible and my respect for my teammates, who rely on each athlete to be at their best to ensure that we can learn, develop, and succeed together.

    • Will refrain from consuming drugs, tobacco, or alcohol and kindly expects all attendees to do the same at every soccer game. Additionally, we anticipate everyone associated with Siler City Futbol Club will avoid these substances at any related event. This commitment is made out of respect for our bodies and health, the well-being of others, and to set a positive example for our peers and the wider community.

    Coaches / Volunteers

    • All coaches and volunteers in the club will always:

    • Place the safety and welfare of all athletes above the value of winning games.

    • Show respect for all athletes, coaches, and game officials at Siler City Football Club and in visiting clubs.

    • Lead by example, demonstrating fair play and sportsmanship at all times.

    • Demonstrate knowledge of the game's rules, and teach those rules to the athletes.

    • Use positive language, treat everyone with dignity, and never use abusive or insulting language with anyone.

    • Positively conduct myself.

    • I communicate openly and honestly with my players, their families, other coaches, and the club.

    • Strive to provide information to my team on time, and reply to communications in a reasonable amount of time.

    • Understand that youth athletes need more example than criticism and work to be the primary soccer role model on the team.

    • Understand that coaching involves motivating players to produce their best effort, inspiring them to learn, and encouraging them to be winners.

    • Strive to improve as a coach through coaching education provided by the club, US Soccer, or other organizations.

    • Approach coaching, volunteering, and working with teams as something done first for the benefit of the youth athletes and second for the benefit of the club. SCFC will not tolerate coaches or other volunteers who put their personal ambitions or egos above the needs of the players or the club. SCFC will, at their discretion, remove anyone who cannot uphold this value. 

    • Work to identify and stop inappropriate behavior, regardless of the situation.

    • Not allow the use of anabolic agents or stimulants, drugs, tobacco, or alcohol by any youth athletes.

    • Work to ensure a student-athlete's eligibility and participation are never knowingly jeopardized.

    • Coach’s actions on the sidelines during games shall be in the spirit of "good sportsmanship" at all times. Profanity, profane gestures, arguing, inciting disruptive behavior by spectators and/or players, or any conduct not in the spirit of good sportsmanship shall require disciplinary action from Siler City FC.

    • Alcohol, illegal drugs, and unauthorized prescription drugs shall not be possessed, consumed or distributed before, during, or after any game or at any other time at the field and/or game complex. 

     Parents / Spectators

    All parents and spectators will always—

    • Encourage good sportsmanship by supporting all athletes, coaches, game officials, and administrators.

    • Place all athletes' emotional and physical well-being ahead of any personal desire to win.

    • Support the coaches, officials, volunteers, and administrators working with the youth athletes to encourage a positive and enjoyable experience for all.

    • Remember that the soccer game, training, and club are for the benefit of the youth athletes, not the adults.

    • Remind their child(ren) to treat other athletes, coaches, game officials, administrators, and fans with respect.

    • Allow their child(ren)’s coach to be the only coach on the field during games and training.

    • Remember that youth soccer is equally important for girls as youth soccer is for boys.

    • If I want to speak with the coach about something, I will not do it directly after a match when everyone’s emotions are high. Instead, I will wait 24 hours from the end of the match to contact the coach and communicate with them (this includes emails, text messages, phone calls, and in-person conversations).

    • Understand that parents should not argue with the opposing team’s parents, players, or coaches.

    • Understand that parents can NOT come onto the field for any reason during the game.

    • Understand that criticizing or approaching game officials before, during, or after games is not tolerated by the Siler City Futbol Club.

    • Alcohol, illegal drugs, and unauthorized prescription drugs shall not be possessed, consumed or distributed before, during, or after any game or at any other time at the field and/or game complex. Firearms, concealed or open carry, are not welcome at training or games, and anyone breaking this rule will be asked to leave immediately. 


    Siler City Futbol Club suggests that if you would like your child to find success and enjoyment on the soccer field for many years, you use these kind of phrases with them on game days:

    Before the match: “Good luck.” “Have fun.” “I love you!”

    After the game: “I enjoy watching you play.” “What would you like to eat?” “I love you!”

    Important to Understand: If athletes, coaches, volunteers, parents, and spectators fail to comply with the above Code of Conduct,  

    1st Offense:

    The offender will be invited to an in-person meeting with one or more Directors of the Siler City Futbol Club. During this meeting, we will discuss the incident, identify the behaviors that did not comply with the Siler City Futbol Club’s Code of Conduct, and provide suggestions for improved behavior. If it is determined that a suspension is necessary, the penalty may range from a warning up to a maximum suspension of thirty (30) days.

    Subsequent offenses will result in the suspension of your privilege to participate in Siler City Futbol Club for the following periods: 

    2nd offense -- Suspension for a minimum of thirty (30) days to a maximum of five (5) years. 

    3rd offense -- Suspension for a minimum of one (1) year to a maximum of ten (10) years. 

    4th offense -- Suspension for a minimum of five (5) years to a maximum of fifty (50) years.

    Building By-Laws

    ARTICLE I: NAME AND PURPOSE

    Section 1. Name - The name of the organization shall be “Siler City Futbol Club.”

    Section 2. Purpose

    The purpose of the Organization is as follows–Siler City Fútbol Club’s mission is to create an inclusive soccer community through opportunities in Siler City that bring our diverse community together to promote individual development, healthy competition, friendship, and unity, open to all with a love of the game. 

    Section 3. Offices 

    The organization's principal office and registered agent shall be located in Siler City, North Carolina. The mailing address of the Organization shall be PO Box 904 Siler City, NC 27344. The Organization may have such other offices, within or outside the town of Siler City, as may be designated by the Board of Directors or as shall be appropriate or necessary for the affairs of the Organization.


    ARTICLE II: MEMBERSHIP

    Section 1. Membership

    Siler City Futbol Club does not require membership and is free and open to all participants.


    ARTICLE III: BOARD OF DIRECTORS

    Section 1. General Powers

    The Board of Directors shall oversee the property, business, and affairs of the Organization following these By-laws. The Board is responsible for setting overall policy and direction for the Organization and delegates the responsibility for day-to-day operations to the President. The specific powers of the Board of Directors include, but are not limited to:

    a. defining the mission, goals, and objectives of the Organization and assigning priorities among the goals and objectives when needed;

    b. selecting the Organization’s President and periodically reviewing his or her performance;

    c. Approving major personnel policies

    d. Reviewing and approving the Organization’s budget

    e. Raising the financial resources required to meet the Organization’s goals and objectives, as coordinated by the President, and establishing general fundraising policies; and

    f. Conduct an annual review and evaluation of the Organization’s performance in meeting the highest priority goals and objectives.

    G. Adjudicating disputes between parties, parents, referees, players and the organization. 

    Section 2. Number, Election, and Term of Office 

    The number of Directors shall be not less than three nor more than fifteen.  From time to time, such numbers shall be fixed by the affirmative vote of a majority of the Board of Directors. Directors shall be elected by a majority of the Directors for a term of three years. Each Director shall hold office until his or her respective successor is elected unless he or she sooner dies, resigns, is removed, or becomes disqualified.  Directors may serve two consecutive terms.  The Directors shall endeavor to stagger the Directors' terms, so approximately one-third of the Directors’ terms shall expire each year. The Directors, by majority vote, shall elect a Director to serve as the President of the Board of Directors (the “President”), and the President shall have the powers outlined in these By-Laws.

    Section 3. Qualifications

    Directors shall have a demonstrated commitment to the Organization’s mission.

    Section 4. Place of Meeting

    Regular meetings of the Board of Directors of Siler City Futbol Club shall occur at a location chosen by a majority of the Directors and duly noted in the meeting minutes. If necessary, Directors can attend via a virtual meeting platform.  Special meetings of the Board of Directors, or any Committee thereof, may be held either within or without the State of North Carolina.

    Section 5. Regular Meetings

    The Board of Directors shall hold regular meetings once every month, as voted on by the Board of Directors and duly noted in the meeting minutes. 

    Section 6. Annual Meeting

    The Board of Directors shall meet at the end of each fiscal year to review the activity from the previous year and formally elect new Directors and Officers, who will be effective the first day of the following fiscal year.

    Section 7. Presence at Meetings 

    Each Director shall be required to be physically present or present through a virtual meeting platform at 85% of meetings. Suppose a Director cannot be physically or virtually present at a meeting. In that case, he or she must notify the President of the Board of Directors of Siler City Futbol Club at least 24 hours in advance.

    Section 8. Consent of Directors  Any action required or permitted to be taken at any meeting of the Board of Directors or any Committee thereof may be taken without a meeting if a written consent thereto is signed by all members of the Board of Directors or of such Committee, as the case may be. Such written consent is filed with the minutes of proceedings of the Board of Directors or such Committee.

    Section 9. Quorum and Manner of Acting

    Except as herein otherwise provided, a majority of the Directors shall constitute a quorum for the transaction of business, and, except as otherwise required by law, in the Articles of Incorporation or in these By-Laws, the act of a majority of the Directors present at any such meeting at which quorum is present, shall be the act of the Board of Directors.  In the absence of a quorum, a majority of the Directors present may adjourn the meeting from time to time until a quorum is present.  No notice of any adjourned meeting need be given.

    Section 10. Resignation

    Any Director of Siler City Futbol Club. may resign at any time either by oral tender of resignation at any meeting of the Board of Directors or by written notice thereof given to the Secretary of the Organization.  Such resignation shall take effect at the time specified therein, and unless otherwise specified with respect thereto, the acceptance of such resignation shall not be necessary to make it effective.

    Section 11.

    Removal of Directors.  Any Director may be removed, either with or without cause, at any time, by the Board of Directors, by 75% of the votes which at any time are authorized to be cast by all the Board members. The vacancy in the Board of Directors caused by any such removal may be filled by the Board members at such meeting or any subsequent meeting.

    Section 12. Vacancies

    Vacancies of unexpired terms of Directors of the Board may be filled by a majority vote of the remaining members of the Board of Directors for the unexpired term.


    ARTICLE IV: OFFICERS AND AGENTS: POWERS AND DUTIES

    Section 1. Officers

    The officers of Siler City Futbol Club’s Board of Directors shall be the President, Vice-President, Secretary, Treasurer, and Fundraising Committee Chair.  An officer is required to be on the Board of Directors of Siler City Futbol Club.

    Section 2. Term of Office 

    Officers shall be elected at the last meeting of the Board of Directors in each fiscal year, and each officer shall hold office until the last meeting thereof in the next subsequent year or until his or her successor is chosen unless he or she sooner dies, resigns, is removed or becomes disqualified.

    Section 3. Removal of Elected Officers 

    Any officer may be removed at any time, either with or without cause, by the affirmative vote of 75% of the whole Board of Directors, at any meeting thereof.

    Section 4. Vacancies 

    If any vacancy occurs in any office, the Board of Directors may elect a successor from the current roster of the Board of Directors to fill such vacancy for the remainder of the term.

    Section 5. The President of the Board of Directors. The President shall preside at all meetings of members and Directors at which he or she is present. The President shall possess the power to sign all certificates, contracts, and instruments of Siler City Futbol Club, which may be authorized by the Board of Directors.  The President shall attend to the proceeding of all committees and offices of the Board and provide financial and club oversight, and counsel, to the Executive Director, if there is one, meeting with them each month before the Board of Directors’ meeting or at another agreed upon time if they are absent.

    Section 6. Vice-President

    The Vice-President shall serve as interim President and preside over meetings of the Board of Directors in the absence of the President. 

    Section 7. Secretary 

    The Secretary shall attend to the giving of notice of all meetings of members and the Board of Directors, except as herein otherwise provided, and shall keep and attest true records of all proceedings.  In his or her absence from any such meeting, a chosen Temporary Secretary shall record the proceedings.  

    Section 8. Treasurer

    The Treasurer shall have the care and custody of all monies, funds, and securities of Siler City Futbol Club and shall deposit or cause to be deposited all funds of the Organization in and with such depositories as the Board of Directors from time to time may direct.  He or she shall keep all books of account relating to the business of the Organization. He or she shall render a statement of the Organization’s financial condition whenever required by the Board of Directors or the Executive Director (if any).  Though not required for selection, the Treasurer will hopefully have prior accounting or bookkeeping experience.

    Section 9. Fundraising Committee Chair

    The Fundraising Committee Chair shall attend to the delegation and oversight of all fundraising for Siler City Futbol Club., including but not limited to events, capital campaigns, grants, donations and sales.


    ARTICLE V: COMMITTEES

    Section 1. Committees 

    Siler City Futbol Club’s Board of Directors shall have a Fundraising Committee and may appoint new committees deemed necessary by way of a majority vote.


    ARTICLE VI: AGENTS, COMPENSATION

    Section 1. Agents

    The Board of Directors may make such contracts and employ such agents, servants, brokers and attorneys as it deems necessary or appropriate to accomplish the Organization’s purposes.

    Section 2. Officers

    Compensation, if any, of all officers of the Organization shall be fixed from time to time by the Board of Directors.


    ARTICLE VII: MISCELLANEOUS

    Section 1. Fiscal Year 

    The fiscal year of the Organization shall run from July 1 to June 30 of each year.

    Section 2. Signature of Negotiable Instruments

    All bills, notes, checks or other instruments for the payment of money shall be signed or countersigned by such officers and in such manner as from time to time may be prescribed by the Board of Directors.

    Section 3. Seal 

    The seal of the Organization shall be in such form as from time to time may be adopted by the Board of Directors. The Secretary shall keep the seal.

    Section 4. Indemnification and Advance Payment of Expenses 

    The Organization may, to the fullest extent now or hereafter permitted by the Articles of Incorporation and §§ 55A-8-51, 55A-8-52, and 55A-8-54 through 55A-8-57 of the General Statutes of North Carolina, indemnify any person made, or threatened to be made, a party to any action or proceeding because of the fact that he or she was a Director, officer, employee or agent of the Corporation, against judgment, fines, amounts paid in settlement and reasonable expenses, including attorney’s fees.  In addition, the Corporation may, to the fullest extent now or hereafter permitted by § 55A-8-53 of the General Statute of North Carolina, pay the expenses incurred by a Director in defending a proceeding in advance of the final disposition of such proceeding upon receipt of an undertaking by or on behalf of such Director to repay such amount unless it shall ultimately be determined that such Director is entitled to be indemnified by the Corporation against such expenses.

    Section 5. Amendments 

    These By-Laws may be altered or repealed, in any particular, and new by-laws, not inconsistent with any provisions of the Articles of Incorporation or any provision of law, may be adopted either by a majority of the votes which at any time are authorized to be cast by all the members, or by the affirmative vote of a majority of the whole Board of Directors at any meeting thereof.  In either event, the notice of any such meeting shall include the form of the proposed alteration or repeal or of the proposed new By-Laws or a summary thereof.

    Section 6. Authorization for Disbursements

    Disbursements for non-budgeted expenditures over ($500) must be approved by a majority vote of the Board of Directors. The President may approve non-budgeted spending up to and including ($500).
